Overview
Able to negotiate or support the negotiation of variation orders, define pre-litigation and litigation/ Arbitration strategy as the case might be
Will provide legal support to the business development and tendering activities of the BU
Involved in Company law and M&A matters regarding the local companies: transfer of shares, capital increase, capital reduction, etc.
In charge of implementing and ensuring compliance matters locally together with the international compliance rules and procedures (Group’s corporate governance policies).
Implementation and/or participation and/or animation of training and communication actions designed to facilitate understanding of, and compliance with, legal regulations, Group procedures and best practices.
Contribution to the implementation of best practices, golden rules, contract templates in accordance with the rules of the various countries of the region.
Oversees reporting major events (pre-litigation, litigation, etc.) to the HQ Legal &Compliance department..
Planning General Meetings (preparation of resolutions, proxy etc.), drawing up minutes for General Meetings, Board of directors, supporting preparation of Supervisory Boards, change of executives as the case might be, delegations of authority etc.
Agreement renewal, Draft contract,
Involve in any legal matters arise including labour complained and lead the case
In addition to the above general legal activities, will also be responsible to, Act as the Data Protection Officer (DPO) for the 3 Saudi entities (RHQ – RDKSA – CAMCO), with a specific focus on ensuring full compliance with the Saudi Personal Data Protection Law (PDPL) and all applicable data privacy regulations:
Monitoring compliance with data protection laws and internal policies related to personal data.
Advising internal stakeholders on data protection obligations and risk management.
Acting as the main point of contact for regulatory authorities (such as the Saudi Data & Artificial Intelligence Authority - SDAIA) and handling data subject requests.
Developing and maintaining privacy documentation, including the Record of Processing Activities, in accordance with PDPL requirements.
Leading internal training and awareness programs to ensure a company-wide culture of data protection compliance.
Coordinating with IT & HR teams to ensure data security measures align with legal requirements.
Staying up to date with legal and regulatory developments in the Kingdom of Saudi Arabia
Responsibilities & requirements
Law degree (Master II/ LLM/…) from a recognized university.
8+ years of experience gained in large law firms and/or in-house for major firms on an international basis.
Strong knowledge in Contracts, Governance, Company Law, Competition and Compliance international laws and regulations.
As a single lawyer locally based, shall have a perfect ability to work autonomously and be proactive to identify their daily scope and define the legal priorities of the assigned geographical area.
Knowledge of Contract Management & PPP is a plus
Must have experience in working on Saudi Personal Data Protection Law.
Based in Riyadh. Travel will be required as part of the role within the MENA region and in the rest of the world if required.
